Cairo, May 10th, 2009: Orascom Telecom Holding S.A.E. ("OTH") informs that its fully owned subsidiary, Pakistan Mobile Communications Limited ("PMCL" or "the Company") has announced the acceptance and final results of its tender offer to repurchase for cash up to USD 140 million in principal amount of its 8 5/8% Senior Notes due 2013 (the "Offer"). As of the Expiration Time at 5:00 P.M. (New York City time) on May 6, 2009, PMCL had received valid tenders of Notes totalling US$153,267,000 in aggregate principal amount. PMCL has accepted tenders of validly tendered Notes in an aggregate principal amount of US$137,762,000 . Because more than US$140,000,000 in aggregate principal amount of Notes were tendered in the Offer, the Offer was oversubscribed. On April 22, 2009 PMCL had announced the exercise of the Fixed Price Option, the extension of the Early Tender Period to 5:00 P.M. (New York City time) on April 27, 2009 and the upsizing of the Offer from up to US$100 million to up to US$140 million of the outstanding Notes.

PMCL will repurchase the Notes at the Repurchase Price of US$730 per US$1,000 of principal amount (which includes the Early Tender Amount), as announced on April 22, 2009. After settlement and cancellation of the repurchased Notes, PMCL will have repurchased and cancelled US$137,762,000 of debt for roughly US$ 100.6 million of cash.

The Offer was conducted with Citigroup Global Markets Limited, Deutsche Bank AG, London Branch, as joint dealer managers and lead managers, and Standard Chartered as lead manager.
