Abu Dhabi Holding organizes a special workshop for its board of directors and key business Community leaders in order to provide a good overview of corporate governance issues which will contribute to the growth and enhance the professionalism of the business environment in Abu Dhabi.
Inspired by the role of the great Political Leadership of the United Arab Emirates for providing the business community with the necessary guidance to build the most successful corporate and business environments in our region, and in compliance with their highnesses' vision, wisdom and support, this workshop was organized.
Sound corporate governance is a competitive differentiator for companies internationally. To build lasting competitive strengths and achieve superior business performance, it is important for key position holders to understand the issues. This is particularly so as businesses look to the global arena for recognition, financing and to attract foreign investment to the region and to provide a stable business environment to the shareholders. Additionally, with the appointment to the board as directors, appointees are faced with certain roles, duties and obligations that they have to fulfill. In order to function effectively as directors, they need to understand their specific roles, duties and obligation.
This customized one-day workshop will draw on the key legislative and regulatory requirements that directors must be aware of, including the relevant Companies Act, the Securities Act, the proposed Code of Corporate Governance, and the Listing Manual. The session will draw extensively from international best practices and also consider the usefulness of the US Sarbanes Oxley Act for the purposes of the company in the UAE.
This workshop will reflect an increasing recognition of the potential importance of the differing incentives and possible conflicts of interests among the board, executives, outside monitors and shareholders. Upon completion of this program, the participants will be able to gain an understanding of the proposed Code of Corporate Governance. Emphasis will be laid on such issues as Board Matters, Director Duties and responsibilities, Breach of Duty and Consequences, Insurance, Audit and Accounts, Risk Management and more.
This workshop is coordinated with Boston consulting Group one of the top international management consulting firms and conducted by Business Leadership Center, a fully owned subsidiary of Temasek Holding, one of the biggest investments vehicles worldwide. Program Facilitator is Kala Anandarajah a Partner in Rajah & Tann. She heads the Knowledge & Risk Management Group and the Competition and Trade Law Practice and leads the Corporate Governance Practice. She was recently appointed as a Member of the Singapore Ministry of Manpower Workplace Safety and Health Advisory Committee. She is also the Chairperson of the Law Society Corporate Practice Committee and a member of the Governing Council of the Singapore Institute of Directors.
Kala practices in the field of Corporate and Banking advisory, Competition Law, Employment Law and Environmental Law. She has wide exposure on all aspects of corporate/commercial transactions, with a particular focus on corporate governance and risk management, and competition compliance.
