The Company for Cooperative Insurance (Tawuniya) invites Shareholders to attend Ordinary General Assembly
The Company for Cooperative Insurance ( Tawuniya ) invites its valued shareholders to attend Ordinary General Assembly for year 2012 that will be held at Tadawul Media Center - ABRAJ Attaawuneya Building (700 King Fahad Road) - Northern Tower, Lower Ground (LG) Floor Olaya Riyadh, on Monday 19/04/1433H corresponding to 12/03/2012 at 06:15 p.m.
The agenda of the meeting includes, inter alia, the following items:
1.Agree on Board of Directors' Report for 2011.
2.Approval of the financial statements of the company for the year ending 31/12/2011 and the Auditors' Report.
3.Approve Board of Directors recommendation in respect of dividends distribution for year 2011 amounting to SR 262.5 million at SR 3.5 per share and 35% of the par value of share. Eligibility criteria for distribution of dividends will be the end of trading on the Assembly day.
4.Discharge Board of directors of their liability for the management of the company during the last fiscal year.
5.Approve the appointment of company's auditors for the fiscal year 2012 nominated by the Audit Committee for audit of the financial statements for the year ended 31st Dec, 2012 and determine their fees.
6.Approval of the business contracts concluded between the company and the General Organization for Social Insurance (GOSI), Public Pension Agency and Jarir Marketing Company, being contracts in which directors and major shareholders have interest.
