Latham & Watkins Elects 23 New Partners, 13 New Counsel

... Latham & Watkins LLP1 is pleased to announce that 23 associates have been elected to the partnership, and 13 associates have been elected to the role of counsel, effective January 1, 2010.

"We are delighted to welcome this accomplished group of attorneys to the partner and counsel ranks, all of whom bring a wealth of experience and skills to further strengthen our firm," said Latham & Watkins' Chairman and Managing Partner, Robert M. Dell.  "The group represents attorneys across a range of transactional, litigation and regulatory practice areas whose market knowledge and industry expertise will benefit our clients.  I am proud of their individual achievements, as well as their commitment to maintaining the growth and collaborative culture of our firm and their outstanding client-service skills."

The attorneys elected to the partnership are:

CHICAGO
Roderick Branch is a corporate attorney focused on capital markets transactions and securities regulation, with a particular interest in securities offerings by non-US issuers.  He has extensive experience in securities financings in public and private markets, and has represented public and private companies, investment banks and sovereign governments in global capital markets transactions.  He received a JD from Harvard Law School in 2001.

Julie Marion is a tax attorney with a diverse practice advising companies on business acquisitions, joint ventures, insolvency and restructurings, tax planning and international tax matters.  She devotes a significant amount of her practice to advising on partnership and related tax matters in connection with the formation of joint ventures and investments using pass-through structures, and has special expertise relating to energy tax credit partnerships.  She received a JD from the University of North Carolina School of Law in 2001.

FRANKFURT
Gregor Klenk is a corporate attorney with a focus on mergers and acquisitions and private equity transactions.  Klenk has special experience in domestic and cross-border M&A transactions.  He received an LLM from Columbia University School of Law in 2003 and a post-graduate degree in law from the University Panthéon Sorbonne (Paris) in 2000, and studied political science at Sciences Po Paris.

HAMBURG
Dirk Kocher is a corporate attorney with a focus on advising clients on stock corporation and takeover law matters, including the acquisition and sale of investments in listed corporations and in other companies,  the preparation of general meetings, capital increases, public bids and applications for mandatory bid exemption. He has extensive experience with joint ventures and restructurings.  He received a Dr. jur. from the University of Frankfurt in 2003 and an LLM from the University of Helsinki Faculty of Law in 2001, and completed the Second German State Exam in Stuttgart's Higher Regional Court in 2000.

LONDON
Vladimir Maly is a finance attorney specializing in transactions involving cross-border derivatives.  He received an LLM from Tulane University in 2000 and an MA from Charles University in 1999.

Rory Negus is a corporate attorney with a focus on UK and cross-border debt and equity restructurings, private mergers and acquisitions, private equity and venture capital transactions and general corporate and insolvency transactions.  He received an MA in Law from Cambridge University in 2001, a Diploma in Legal Practice from the College of Law at Chester in 1998 and a BA from Cambridge University in 1997.

LOS ANGELES
Laurence Seymour is a tax attorney specializing in executive compensation and employee benefits matters.  He represents public and private companies and compensation committees in structuring and implementing executive compensation, incentive and benefit plan agreements and arrangements, as well as in matters pertaining to corporate governance.  He also counsels these entities on all executive compensation and employee benefits aspects of mergers and acquisitions, financings, IPOs and other corporate transactions, including matters pertaining to golden parachutes, deferred compensation and pension and welfare benefit plan issues.  He received a JD from the University of Pennsylvania Law School in 2001.

Aaron Murphy is a litigator with a focus on white collar and government investigations, in particular matters relating to the Foreign Corrupt Practices Act ("FCPA").  Murphy has conducted FCPA investigations and advised on FCPA matters on five continents.  He received a JD from the University of Tennessee  in 1999 and was a judicial clerk for the United States Court of Appeals for the Ninth Circuit.

MUNICH
Kilian Helmreich is a corporate attorney with a focus on advising financial and strategic investors on mergers and acquisitions, corporate restructurings and general corporate law matters.  He completed the Second German State Exam at Munich's Higher Regional Court in 2002 and received a Dr. jur. from the University of Salzburg, Austria in 2002.

NEW YORK
Lauren Hanrahan is a finance attorney with a focus on representing banks and other financial institutions in acquisition financings, cross-border financings, debt restructurings and other leveraged finance transactions.  She received a JD from the University of Pennsylvania in 2001.

Adrienne Eason Wheatley is a litigator who focuses on securities and professional liability litigation and complex commercial litigation.  She has advised and represented Fortune 500 companies, boards of directors, board committees, individual directors, and company officers in state and federal courts, and at the trial and appellate levels, in connection with securities class actions, shareholder derivative suits, and multi-jurisdictional commercial disputes.  She also has significant experience defending SEC enforcement actions and conducting internal investigations regarding financial reporting, disclosures and internal control procedures.  She received a JD from Harvard Law School in 1997.

Keith Halverstam is a corporate attorney with a primary focus on corporate finance and capital markets transactions.  His experience covers a broad range of financing transactions, including high-yield debt offerings, leveraged buy-outs, initial public offerings and secondary equity and debt offerings.  He also has significant experience representing borrowers and lenders in syndicated lending transactions and has represented sellers and buyers in public and private mergers and acquisitions.  He received a JD from the University of Chicago Law School in 2000.

ORANGE COUNTY
Michael De Vries is a patent litigator, trial lawyer and intellectual property specialist who has represented clients in a variety of intellectual property disputes involving patent infringement and other intellectual property infringement claims and advised clients on numerous intellectual property-related strategy matters.  He received a JD from the University of California, Berkeley, School of Law in 2000.

Wesley Holmes is a corporate attorney with a focus on private and public securities offerings, general company representation and private equity finance, including representation of both public and private companies in the hospitality, manufacturing, medical device and communications sectors as well as investment banks in high yield debt financings and restructurings and offerings of equity securities.  He received a JD from Boston College Law School in 2001.

SILICON VALLEY
Joshua Dubofsky is a corporate attorney with a focus on mergers and acquisitions, strategic corporate transactions, securities financings and general corporate representation of both public and private companies.  He has represented corporate clients and private equity firms in acquisitions, divestitures, strategic investments and joint ventures, and has represented corporate clients and investment banks in offerings of debt and equity securities, including acquisition financings.  He received a JD from Columbia University School of Law in 2001.

Kathleen Wells is a corporate attorney with a focus on public and private emerging company representation, and her experience includes public securities offerings, venture capital financings, mergers and acquisitions, public company reporting and general corporate governance matters.  She received a JD from Stanford University Law School in 2001.

TOKYO
Hiroki Kobayashi is a Japan- and New York-qualified corporate attorney with a focus on general corporate matters, including cross-border mergers.  Kobayashi advises on Japanese legal issues relating to a variety of areas, including employment, antitrust, bankruptcy and various regulatory matters. He also handles project finance transactions involving Japanese sponsors and lenders.  He graduated from the Japanese Legal Training and Research Institute in 1999 and received his LLM from Northwestern University School of Law in 2006.

WASHINGTON, D.C.
Christopher Brown is a finance attorney with a focus on private equity finance.  He represents both lenders and borrowers in secured lending and other financing transactions, including acquisition financings, cash-flow and asset-based loans, subordinated debt facilities and private equity bridge loan facilities.  He received a JD from the University of Virginia School of Law in 2001.

Jeffrey Chenard is a finance attorney with a focus on representation of private equity sponsors in acquisition financings and other leveraged loan transactions.  He represents borrowers and lenders in secured loan, cash-flow and asset-based loan, mezzanine loan and subordinated debt transactions, loan commitments and private equity fund bridge loan facilities.  He earned a JD from the University of Virginia School of Law in 2001.

Marguerite Sullivan is a litigator with a focus on both private and government antitrust matters.  She has defended corporate clients in complex civil actions throughout the country and has substantial expertise litigating multi-district actions and class actions.  She received a JD from Northwestern University School of Law in 2000.

Natasha Gianvecchio is a finance attorney with a focus on energy laws and regulations and regional energy markets.  She represents a wide variety of clients in the electric and natural gas industries, including power traders and marketers, independent power producers, electric and gas utilities, upstream investors and financial institutions.  Those representations involve a broad range of issues under the Federal Power Act, Energy Policy Act, Public Utility Regulatory Policies Act, Public Utility Holding Company Act, various other federal and state energy statutes and regulations, as well as regional energy market rules affecting the domestic energy industry.  She received a JD from the University of Chicago Law School in 2001.

Ben Haas is a corporate attorney with a focus on regulatory, transactional and legislative matters involving the medical device, pharmaceutical, biotechnology, tobacco, food, cosmetic and dietary supplement industries.  He has counseled clients on a wide variety of regulatory matters involving the US Food and Drug Administration (FDA), including pre-market product development and clinical and pre-clinical testing, FDA submissions, product promotion and labeling, compliance with good manufacturing practice requirements, agency inspections, and recalls.  He received a JD from the University of Virginia School of Law in 2001.

Nicholas Luongo is a corporate attorney with a focus on mergers and acquisitions for private equity firms and public and private companies.  He has extensive experience in acquisitions and dispositions in a broad range of industries, including energy, healthcare and aerospace and defense.  He received a JD from Boston University School of Law in 2001.

Deborah Steiner is a litigator with a focus on federal white collar criminal defense and internal investigations.  Steiner represents individuals and companies in connection with investigations by federal law enforcement agencies or the United States Attorney's Office, as well as internal investigations by company managers or directors.  She received her JD from Cornell Law School in 1998.

DOHA
Dipti Thakar is a corporate attorney with a focus on equity and debt capital markets transactions as well as cross-border mergers and acquisitions.  She received an LLB from the London School of Economics in 1995.

Olivier Vermeulen is a finance attorney with a particular focus on real estate financing, leveraged finance, structured finance, debt restructuring, Islamic finance and banking regulatory matters.  He advises companies, as well as financial institutions and investments funds.  He received an LLM from Cornell Law School in 2000, as well as a JD and a master degree in Business Law from the University Paris 1 Panthéon Sorbonne in 1998 and 1999, respectively.

PARIS
Fabrice Fages is a litigator with a focus on public policy in regulated sectors such as energy, telecommunications, postal services, banking, insurance, media, gaming, defense and private security.  He also advises on arbitration, securities litigation and implementation of compliance programs.  He received a postgraduate law degree and MBA from the University of Paris 1 Panthéon Sorbonne in 1994 and 1996, respectively.

Thomas Margenet-Baudry is a corporate attorney with a focus on equity, equity-linked and debt capital markets, mergers and acquisitions, and public company representations.  He has advised issuers and underwriters on public and private offerings of securities, as well as targets and acquirors in public M&A transactions.  He received a Maîtrise and a DEA in business law from the University of Paris I Panthéon Sorbonne in 1999 and an LLM from Columbia Law School in 2001.

Lionel Vuidard is litigator with a focus on labor and employment law.  He defends French and multinational companies in complex labor-related disputes and advises in particular in connection with restructurings, outsourcing, mergers and acquisitions, and labor aspects of cross-border transactions.  He received a Master Degree from the Political Institute of Paris in 1998 and a Postgraduate Law Degree from the University of Paris I in 1999.

Daniel Brunton is an environmental attorney who focuses on environmental and land use litigation, as well as counseling clients on environmental and land use matters.  He has represented developers and municipalities in matters involving CEQA, NEPA, California planning and zoning law, the Coastal Act and endangered species.  He received a JD from New York University School of Law in 2001.

Ann Buckingham is a corporate attorney with a focus on mergers and acquisitions, capital markets transactions and general public company representation, specializing in the telecom and technology industries.  She also specializes in commercial transactions and international regulation in the telecom space.  She received a BCL (Masters in Law) from Oxford University in 1997 and an LLB from Victoria University of Wellington, New Zealand in 1994.

Cecilia O'Connell Miller is an environmental attorney who focuses on complex business litigation, insurance coverage litigation and appellate representation in federal and state courts.  She received a JD from the Columbus School of Law at the Catholic University of America in 2000.
